Advertiser Terms & Conditions

1. Introduction

These Advertiser Terms & Conditions (“Terms”) govern your use of the FusionLeadsLLC (“we,” “us,” or “our”) advertising platform (the “Platform”) to place advertisements for your products or services. By accessing or using the Platform, you (the “Advertiser”) agree to be bound by these Terms.

2. Account Creation and Use

  • You must be at least 18 years old and have the legal capacity to enter into a binding agreement to create an account on the Platform.
  • You are responsible for maintaining the confidentiality of your account information, including your username and password.
  • You are solely responsible for all activity that occurs under your account.

3. Advertising Materials

  • You are responsible for the content of your advertisements (“Advertising Materials”).
  • Your Advertising Materials must:
    • Be truthful, accurate, and not misleading.
    • Comply with all applicable laws and regulations.
    • Not infringe upon the intellectual property rights of any third party.
    • Not be offensive, obscene, or harmful.
  • We reserve the right to reject or remove any Advertising Materials that violate these Terms.

4. Targeting and Audience

  • You are responsible for targeting your advertisements to the appropriate audience.
  • We may provide targeting options, but you are solely responsible for ensuring your advertisements comply with all applicable laws and regulations regarding advertising to specific demographics.

5. Fees and Payment

  • You agree to pay the fees associated with your advertising campaigns as outlined in the Insertion Order (“IO”).
  • We offer various payment methods, and you are responsible for any associated fees.
  • We reserve the right to suspend or terminate your account for non-payment.

6. Performance Reporting

  • We will provide you with reports on the performance of your advertising campaigns.
  • You are responsible for interpreting and acting upon the information provided in these reports.

7. Term and Termination

  • These Terms will remain in effect until terminated by either party.
  • We may terminate your access to the Platform for any reason, at any time, with or without notice.
  • You may terminate your account at any time by following the instructions on the Platform.

8. Disclaimers

  • WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PLATFORM OR THE RESULTS OF YOUR ADVERTISING CAMPAIGNS.
  • WE WILL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM.

9. Limitation of Liability

  • IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

  • You agree to indemnify and hold us harmless from any and all claims, losses, damages, and expenses (including attorney’s fees) arising out of or in connection with your use of the Platform or your breach of these Terms.

11. Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of the State of UK, without regard to its conflict of law provisions.

12. Entire Agreement

  • These Terms constitute the entire agreement between you and us regarding your use of the Platform.

13. Severability

  • If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

14. Amendment

  • We may amend these Terms at any time by posting the amended terms on the Platform. Your continued use of the Platform after the posting of the amended terms constitutes your acceptance of the amended Terms.
